Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the FlowSight platform, website, APIs, and related services (collectively, the "Service") provided by FlowSight LLC ("FlowSight," "we," "us," or "our"), a Delaware limited liability company.
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
2.1 What FlowSight Does
FlowSight is a payment intelligence platform that provides real-time monitoring, failure classification, processor performance comparison, anomaly detection, and revenue recovery insights for e-commerce payment operations.
2.2 What FlowSight Is Not
FlowSight is not a payment processor, payment gateway, or financial institution. FlowSight does not process, store, or transmit cardholder data. FlowSight is not subject to PCI DSS compliance requirements. We observe and analyze payment events — we do not execute payment transactions.
3. Beta Program
FlowSight is currently in beta. During the beta period:
- The Service is provided at no cost under the Free tier
- Free tier includes: up to 10,000 payment events per month and 7-day data retention
- We may modify, suspend, or discontinue features with reasonable notice
- We will provide at least 30 days' notice before transitioning to general availability (GA), introducing paid tiers, or reducing free-tier features
4. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized access
- Configuring API credentials with minimum-privilege access
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to process, store, or transmit cardholder data or other data subject to PCI DSS
- Resell, sublicense, or redistribute access to the Service without our written consent
6. Data and Intellectual Property
6.1 Your Data
You retain all rights to the payment event data you send to FlowSight. We process your data solely to provide the Service, as described in our Data Processing Agreement (available upon request at admin@flowsight.pro).
6.2 Our Service
FlowSight retains all rights to the Service, including our software, algorithms, documentation, and user interface. These Terms do not grant you any intellectual property rights in the Service.
6.3 Aggregated Data
We may generate anonymized, aggregated insights from data processed through the Service (e.g., industry-level failure rate benchmarks). Such aggregated data will not identify you or your customers.
7. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. During the beta period, no service level agreement (SLA) applies. We will provide reasonable notice of planned maintenance.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:
- The Service will meet your specific requirements
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from the Service will be accurate or reliable
- Any errors in the Service will be corrected
Payment intelligence and recovery recommendations are informational only. You are solely responsible for decisions made based on FlowSight's analysis.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- FlowSight's total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you in the 12 months preceding the claim, or (b) $100 USD
- In no event shall FlowSight be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption
These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if FlowSight has been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold harmless FlowSight, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
11. Termination
11.1 By You
You may terminate your account at any time by contacting us at admin@flowsight.pro.
11.2 By Us
We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service (with 30 days' notice where practicable).
11.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive (including Disclaimer, Limitation of Liability, Indemnification, and Dispute Resolution).
11.4 Data on Termination
Following termination: API credentials will be deleted within 48 hours; account data will be deleted within 30 days. You may request an export of your data before termination takes effect.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect via the email associated with your account. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.
13.2 Arbitration
Any dispute arising from or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware.
13.3 Class Action Waiver
To the extent permitted by applicable law, you agree that any claims will be brought in your individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
13.4 Exceptions
Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.
14. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any applicable DPA, constitute the entire agreement between you and FlowSight
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force and effect
- Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision
- Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets
